Social Media & PR Services:
Code of Ethics: Public relations professionals have a special obligation to practice their craft ethically with the highest standards of truth, accuracy, fairness, and responsibility toward the public. Therefore, the Parties agree to adhere to the PRSA's Code of Ethics.
Sequential liability: Under the principle of sequential liability, VMP is liable for payments to suppliers and other vendors only to the extent that the Client delivers payment for such purchases. The Client agrees it will be held solely responsible for amounts owed and not paid to VMP. VMP shall have the right to require reasonable assurance of the availability of the Client's funds before undertaking commitments on the Client's behalf.
The Client agrees to pay VMP the fee in full in accordance to the terms of a specific service, to complete the Scope, Project, or Program, usually payable online, or the payment method we otherwise discussed.
VMP shall pause all work when payment is late until we receive cleared payment. This does not relieve the Client of its continuing obligations to VMP. In the event of late payment, at its sole discretion and because time is often of the essence in collections, VMP may bypass mediation obligations and immediately file suit for collections.
VocalzMusic & Publishing (VMP) will make every reasonable effort to provide a complete and accurate service. However, VMP offers no guarantee. This agreement is complete and has no additional verbal representations. Parties agree many factors are outside VMP's control, including the Client, timely approvals, third-party deadlines, consumer, and market products, services, prices, quality, demand, competition and behavior, preferences and reviews, technology changes, preemptive and breaking news, media bias, the economy, and major events. Therefore, VMP offers no guarantees, warranties, chargebacks, or refunds beyond the quality and scope of its work.
VMP does not own or exercise control over media outlets or other third parties, whether in television, radio, print, web, or any other medium. Therefore, VMP can not guarantee any media outlet's performance, conduct, timeliness, content, or editorial decision. Media outlets may require professional news photos or video footage. If the Client doesn't have or share such materials, with the Client's approval, VMP may source such approved materials/services at the Client's expense. VMP recommends an additional paid media investment to boost/sponsor content to improve organic reach and engagement.
Indemnify and hold harmless: The Client agrees to indemnify and hold VMP and its affiliates harmless from any claim, demand, or cause of action by whoever brought, whether or not it is brought in front of a state or federal court of law or equity or an administrative tribunal of any federal, state, or local body, that arises out of or is in any way related to the Agreement. Furthermore, the Client assumes the risk and indemnifies VMP where a risk has been brought to the Client's attention, and the Client instructs VMP to proceed, or when the Client tells VMP to take specific actions, or where the Client provides VMP with materials that cause harm/the claim.
Because of the Client's intimate familiarity with its company and industry and the fact that VMP serves as the Client's agent, VMP cannot undertake to verify every fact supplied by the Client. The Client is responsible for the accuracy, completeness, and propriety of the information that it provides to VMP concerning the Client's products, services, organization, and industry. Therefore, the Client represents and warrants that the Client rightfully owns all information and materials that it provides to VMP and does not violate any third party's intellectual property or other rights of any third party. The Client agrees to indemnify, defend, and hold harmless VMP and its employees, freelancers, contractors, licensees, and agents from and against all liabilities, losses, damages, and expenses, including attorneys’ fees and costs, which VMP may incur as the result of any third-party claim, suit, or proceeding brought or threatened for anything and everything possible.
Limitation of liability: Once VMP issues Materials to the press or another third party, its use is no longer under VMP's control. VMP cannot assure the use of Materials by any media nor that any information published will accurately convey the information provided by VMP. VMP does not stipulate or guarantee specific or overall results or returns from public relations, publicity, research, or any other activity VMP performs, nor shall VMP be responsible for any user-generated or Ai content. Finally, in the unlikely event that VMP or its employees, freelancers, contractors, licensees, or agents publish Material on the Client's behalf that inadvertently generates a negative response from the Client or the consuming public, VMP shall not be held liable for any resulting harm, provided VMP deletes, retracts, revises, or corrects such publication promptly upon notification by the Client if such Material was (a) approved by the Client in advance, and/or (b) in compliance with standard public relations and social media guidelines.
IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS OR BUSINESS OR LOSS OF DATA, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES.
Copyright: VMP may provide the Client with news coverage clips. This coverage is subject to copyrights. VMP cannot and does not guarantee the Client has the right to use it. The Client is responsible for securing consent from the rightful owner(s) to obtain the necessary rights before engaging in such use.
General terms: VMP will be acting as the Client's agent when purchasing services, materials, and media on the Client's behalf, and the Client agrees that all orders placed and contracts entered into by VMP on the Client's behalf with VMP's suppliers and other persons may state the same. Except as provided in the previous sentence, nothing in this Agreement shall create any partnership or joint venture between the parties. VMP shall not be deemed the Client's employee, agent, joint venture, or partner. The Client acknowledges that VMP may occasionally use affiliated companies, consultants, independent subcontractors/freelancers, and artificial intelligence to perform Services. This statement shall serve as such client notice.
Integration: The Parties represent and warrant they are not relying on any promises or representations not appearing in this Agreement.
Assignment: This Agreement may not be assigned by either party without the prior written consent of the other, and any such purported assignment shall be void.
The Client represents and warrants that it has read and understands all of the Terms and Conditions that govern this agreement and binds itself by such Terms and Conditions. Instructions and terms provided with client's purchase via our website or an email by Sally B. Waller or a VMP representative, may override certain terms of this agreement. Acceptance of PR services and/or initial payment per the Terms and Conditions represent acceptance of this agreement.
Performance & Voice Coaching Services, Programs & Products
1. No refunds are provided once you have purchased and confirmed your lesson or program schedule with the Voice Coach or by paying online. No refunds for missed classes, consultations or sessions. Clock begins at your scheduled time regardless if you are tardy. The coach will extend your time in the event that she herself causes you to begin your session late. Please pay your lesson/session fee and confirm your schedule with your Voice Coach at least 4 days prior to the date of your session to allow room for possible changes and to allow time for your Voice Coach to prepare your lesson. Please Note: From the moment a client purchases their session package your Voice Coach begins preparing your session. In many cases several hours a week are invested in a client's session BEFORE they even arrive to meet with their Voice Coach. Examples of tasks that your coach must begin before a client's scheduled session include, but are not limited to: Developing a session that fits a client's individual needs through research and/or downloading music for their recording projects, preparing and printing registration forms, preparing client's notes (between sessions), which are often emailed, gathering song lyrics, etc, maintaining a client's records and session notes, maintaining communication to keep client informed about schedules and other related information and much more. A client is paying for the coach's time during sessions as well as the coach's time preparing for sessions, classes and consults. This is the reason we DO NOT issue refunds. This is also the reason we offer an optional preliminary session consultation as well as plenty of helpful information about our services BEFORE you pay the full amount to help you confirm that VocalzMusic's services are right for you.
2. Refund exceptions are considered only if the coach must cancel your session due to an emergency or conflict. This does not apply to online programs. One example of a reason we may delay or cancel your service is due to technical difficulties beyond our control such as internet failure. In most cases this will be avoided by rescheduling your session. Rescheduled sessions must take place within the SAME week of the original postponed session or the session may be lost without refund. Please use or lose your session package within 28 to 31 days of purchase. Certain circumstances such as illness or family emergencies will be considered as an exception to this rule. Please note: A coach can't be successful with helping a singer reach desired results when the client keeps rescheduling or skipping sessions. Sessions must be consistent...especially in the early stages. Additionally when a client is not committed to our learning process and becomes inconsistent with practicing at home, following the coach's vocal instructions and not attending sessions as scheduled, it puts VocalzMusic at risk for claims that may negatively reflect our great work. VocalzMusic has maintained a 5 star rating and since 2004 every client we've coached and who has followed the coach's instructions has experienced positive results.
3. Please be prepared to learn. Class disruptions, inappropriate behavior or a student showing up unprepared for lessons may result in a shorter session for the singer. When a coach must ask a singer to leave their session early there is no refund for singer's missed time. Please note: To date, in our ten years of service, we've only had to escort one singer out of our VocalzMusic home studio for unruly behavior. That client later apologized and was able to return a different day, however the session time they lost was NOT replaced or refunded.
4. VocalzMusic & Publishing reserves the right to deny services and/or not accept clients if we find that we are not able to successfully meet the goals of the student/client. This conclusion can be based on the results of the preliminary consultation or we may not discover a problem until later on. Please note: We've rarely had to turn a client away because we want to try our best to accommodate special circumstances whenever possible. Examples of reasons we'd turn away a client include: Not showing us any evidence that they really want to work with us (showing up to sessions unprepared or not trying their best during sessions), hearing impairment, inability to focus due to age or other reasons.
5. VocalzMusic & Publishing can only guarantee positive results if the client practices and follows the coach’s instructions at home and comes to each session prepared to learn. This is a partnership between COACH and CLIENT (Artist). It is recommended that clients bring a bottle of water, a journal and a pen to take notes to each session. Please note: VocalzMusic’s most successful clients make this specific rule a top priority.
6. VocalzMusic & Publishing has a variety of services designed to meet the needs and skill levels of it's clients. Please contact us if you are not sure which of our services is the best fit for you. Every first session may include a preliminary consultation to first time clients who have completed our required VocalzMusic Registration Forms or to those that have been away for awhile. Exceptions apply. This offer may not be available by certain VMP coaches). During your preliminary consultation your Voice Coach may help you determine which of the VocalzMusic packages or services best match your needs by evaluating your talent, show you how to manage your online lessons and how to use the online lesson apps. such as Zoom, Facebook, etc. Singers will be required to perform the first verse and chorus of one or two published cover songs during their first session consult. Virtual learners are required to have experience using our online platforms, have the required equipment, materials, space, lighting, internet speed and to comply with the all the expectations noted on the booking page as well as here.
7. All VocalzMusic & Publishing registrants must be 18 years or older to register for VocalzMusic’s services, otherwise a parent or legal representative must represent the singer/client. (Requirements may be different for our Talent Coaches or service providers. therefore they must read terms pertaining to them). During online sessions and consultations with clients age 13 and younger, a parent or legal representative must be available near by, however; we do not recommend that parents, a legal representative or manager, family or friends be present during a client's private session online or in person unless invited by the Talent Coach for a specific reason (such as for a Listening Party). Why? Because we require undivided attention from our students and having additional guests causes distraction for the coach and student during private sessions.
8. Additional fees may be charged if a client is not picked up by the scheduled time. Please do not arrive EARLY or LATE. Doing so may cause you to walk in on another client’s private session or cause the tardy client to have a shorter session.
9. Additional services such as the coach attending studio sessions with singer, music editing and/or production or the coach attending pageants, auditions or other singing/acting performances to help the singer are also available for an additional fee that covers the coach’s time, travel, hotel accommodations, meals and other related expense of the Talent Coach and The VocalzMusic Team, where applicable. Those rates are disclosed upon request.
10. Some VMP Talent Coaches may offer additional time whenever able because we are so appreciative of our clients for choosing us and are committed to helping them meet their goals, even if it means that we must put in a little "overtime" as needed. We DO NOT promise this additional time to every client because we may not always have additional time available. No promises here. Please be advised that all of our talent coaches with the exception of Voice Coach, Sally b., who offer coaching and other services in conjunction with VocalzMusic's services, may have more strict, less strict or slightly different rules than what you see here and they will let you know case to case. Contact us if you require more clarification.
11. From time to time a VocalzMusic team member or the Voice Coach may be by during sessions to request to take photographs or to video a session. Clients do not have to participate in any filming or photographs, however, if they happen to be in a photograph/video that is taken during a semi private session or promotional event, such as a recital, VocalzMusic has the right to use such photographs/video in advertisements and promotional public posts. Please note: If a client does not wish to be filmed it is recommended that they avoid those who are holding cameras and videos and inform VocalzMusic team members in advance. (#11 only applies to sessions/classes with Sally b. Waller).
12. Payments are usually accepted via paypal using a credit card or debit card. Other payment options may have been added by the date of this publication. No cash, no electronic checks, no written paper checks, no money orders and no refunds. Certain exceptions may apply on a case to case basis. In special circumstances clients will receive a payment invoice via email one or more weeks prior to the start of a new session package or around the date of a client's last session of their current package. Please make sure that the email address you provide is your main point of contact and is current. (If you are a VocalzMusic Talent Coach being asked to email a payment invoice to us, please do so ASAP. We'll ask a few times but after 60 days we will not be required to pay you for your service to clients. )
13. Please DO NOT pay before reading these TERMS OF SERVICE, completing our VocalzMusic SIGN UP FORM and confirming your schedule with the Talent Coach. Should you have questions before signing up please CONTACT US. (this rule does not apply to programs)
14. All photos, audio, video and editorial created by Sally B. Waller (Sally Booker-Waller), her team
and VocalzMusic & Publishing (VMP), that may be used to promote our services, for educational purposes or in inspirational stories about the client/singer that were either submitted by the client or created by VocalzMusic & Publishing and our affiliates, and that are shared on our VocalzMusic websites, social sites and/or with the general media and public, are the sole property of Sally B. Waller (Sally Booker-Waller) and VocalzMusic & Publishing forever. By signing and submitting the VocalzMusic & Publishing registration/sign up form, client and/or their legal representative acknowledges that all parties are aware of this rule and of all Terms, Conditions and Expectations noted on this legally binding document.
15. VocalzMusic & Publishing's client and/or their legal representative agree that these Terms, Conditions and Expectations apply to all VocalzMusic services unless otherwise stated (including programs, recitals, private sessions, semi private sessions, workshops, online sessions, VMP Talent EPK services, artist development, performance prep, studio prep, music production etc) that are offered and/or provided by Sally Booker-Waller, her assigned music teachers, Talent Coaches, etc and the VocalzMusic & Publishing team. Certain rules may not apply to certain services or may not be offered by certain VMP Talent Coaches. You acknowledge that these are our general rules.
16. Sally Booker-Waller of VocalzMusic and Publishing (VMP) reserves the right to revise these Terms, Conditions and Expectations (TCE) at anytime without written or verbal notice and therefore clients are responsible to stay current by reviewing updated website content often at VocalzMusic.com, Facebook.com/VocalzMusic, BlizzMeOnline.com, VMPTalent.com or SingingFLAT.com.
17. Payment and policies for 3rd party services such as dance choreographers or music production services for example, may differ slightly and if 3rd party services are ever purchased in conjunction with VocalzMusic’s services as a single payment, client should expect a higher fee. VocalzMusic & Publishing is not responsible or accountable for any conflicts that may arise from a client’s professional relationship with any 3rd party services, Talent Coaches or business affiliates that we refer to a client and therefore VocalzMusic & Publishing and the VocalzMusic & Publishing team shall be held harmless from an legal actions. Feel free to report concerns to us and we'll try to help you find a resolution.
18. The VocalzMusic and Publishing owner and Voice Coach Sally Booker-Waller ( Sally B. Waller/ Sally B.) has the right to provide a substitute instructor in her absence or to add an assistant team member or 3rd party contractor representing VocalzMusic during your session, workshop, seminar or event as needed. By signing the VocalzMusic REGISTRATION/sign up form you acknowledge that you are aware that VocalzMusic team members may be present from time to time as needed during your sessions.
19. About Signed Artists: While the majority of these Terms, Conditions and Expectations (TCE) apply to Signed Artists as well as unsigned artists and regular clients, please note that signed artists may be required to sign off on an additional contract or agreement and rates and services may differ for signed artists. Additionally certain classes and services may include additional terms and conditions.
20. All site visitors are encouraged to read our PRIVACY POLICY before using, registering or paying for our services so you can understand how your information is processed and used from our websites.

You agree to HOLD Sally Booker-Waller (Sally B. Waller/Sally b.) and VocalzMusic, it's contractors, it's Talent Coaches, staff/team members and business affiliates harmless, indemnify and defend us from and against any and all claims, demands, actions, debts, liabilities and attorney's fees arising out your participation in/with VocalzMusic's programs and services and that include protection against potential liabilities related to public sharing of marketing and promotional use of your voice, photographs and video and of stories related to you or that mention you and that are presented to the media, used on VocalzMusic's website and social sites and presented to the general public in any form including photographs and including verbal or written mentions of you in VocalzMusic's literature, or that is in anyway advertised publicly and that is claimed on account of, or in any manner predicated on loss of or damage to the property of, and injuries to or death of any and all persons, agents, servants, or employees. Client/Participant and/or their representative further agrees to indemnify and hold harmless Sally Booker-Waller (Sally B. Waller/Sally b.) and VocalzMusic & Publishing (VMP) from the account of damages of any kind that we may suffer as a result of acts of our contractors, agents, servants or employees. This waiver does not extend to intentional misconduct or actions taken with reckless disregard for human life and safety. You understand that you have abandoned your rights, or any rights of anyone associated with you through legal or friendship or family ties, to sue Sally Booker-Waller (Sally B. Waller/Sally b.) and her business, VocalzMusic & Publishing (VMP) for any injury you may sustain and for the release, publication and/or public photography of you and/or the release of your recorded vocal performance done in conjunction with your lesson and for educational and promotional purposes, because of your participation in or attendance in VocalzMusic & Publishing classes, private sessions, online sessions and any and all VocalzMusic & Publishing services. You acknowledge that you have read our TERMS AND CONDITIONS and are aware of any and all risks involved with using our VocalzMusic & Publishing services, including and not limited to vocal strain or damages to your voice, by submitting our online electronic registration form you DO agree to our Terms, Conditions and Expectations. Certain restrictions or exceptions may apply.
By paying for our services and submitting our sign up/registration form you acknowledge that you've accepted the VocalzMusic & Publishing Terms, Conditions And Expectations as stated on this TERMS AND CONDITIONS as well as any additional instructions noted on the purchase page of our websites and you further acknowledge that these TERMS AND CONDITIONS apply to ALL VocalzMusic & Publishing (VMP) services offered at SingingFlat.com, VocalzMusic.com websites and ALL websites, domains, social media platforms, etc that are owned or hosted by VocalzMusic & Publishing (VMP) and/or that bear our brand-name, and herewith give your assent by submitting or sending the VocalzMusic & Publishing Registration, sign up or subscription forms and payment.
